M-KOPA’s financial disclosures state that the acquisition was completed on March 26, 2026. The company said the deal was intended to bring a critical device-locking capability in-house and strengthen its control over an important part of its technology platform.
Cash, shares and other consideration
M-KOPA paid $2.67 million in cash for the acquisition. The remaining $5.33 million consisted of equity and other consideration, including M-KOPA ordinary shares, deferred consideration and remuneration.
The disclosures do not provide a more detailed breakdown of the $5.33 million in non-cash and other consideration.
KilpiTek is described as a Finland-based software company that provides device-locking and related technology services. M-KOPA’s business model allows customers to obtain smartphones and other products through an initial deposit followed by daily or periodic repayments.
Technology control and phone sourcing
Device-locking technology can allow financed smartphones to be remotely restricted or shut down when customers fall behind on repayments. M-KOPA said owning the capability would support its product and phone-sourcing strategy.
Direct ownership could also give the company greater control over how the locking system is integrated with devices from different manufacturers and potentially reduce its reliance on an external provider. Those are potential effects of the acquisition rather than outcomes confirmed in the company’s disclosures.
“The transaction is intended to strengthen the Group’s control over a critical component of its technology stack and support ongoing product and sourcing strategy,” M-KOPA said in its financial statement.
Impact on 2025 reporting
The acquisition took place after M-KOPA’s December 31, 2025 reporting date. The company classified it as a non-adjusting subsequent event, meaning it did not change M-KOPA’s reported financial position or results for 2025.
M-KOPA did not disclose KilpiTek’s revenue, profitability or number of employees in the financial statements.
